Preamble: Zagran Distro is a trading name of Zagran Ltd, a company registered in England under company number 16334360, VAT registration number 509552777. Our registered office is situated at 82a James Carter Road, Mildenhall, West Suffolk, United Kingdom, IP28 7DE.

Acceptance of Terms: The act of placing an order with Zagran Distro constitutes an automatic and unconditional acceptance of these Terms of Business in their entirety.

Payment Protocols: Zagran Ltd operates strictly on a pro-forma basis. Payment is required in full via bank transfer prior to any stock allocation. Order processing commences immediately upon the successful clearance of funds into our accounts.

Minimum Order Value: The minimum order requirement for all wholesale transactions is £650.00, exclusive of VAT. Orders falling below this threshold will not be processed.

Despatch and Delivery Logistics: Physical despatch typically occurs within 3 to 5 business days following payment clearance. We strictly serve the UK domestic market; we do not ship overseas. Shipments will be despatched exclusively to the address provided on the order form. Within Tyne & Wear and County Durham, Zagran Distro performs deliveries via our own dedicated transport fleet. National shipments are conducted via Royal Mail where feasible; however, high-volume or high-value consignments will be handled by a courier of our selection to ensure the security and integrity of the goods.

Stock Availability and Substitutions: In the rare event of a stock discrepancy or item unavailability, Zagran Distro reserves the right to substitute a product with an equivalent alternative of equal or greater value. This remains our default procedure unless the buyer has explicitly prohibited substitutions within the comments section of their order form.

Acceptance of Goods: The buyer must inspect all goods immediately upon delivery. Any discrepancies, damages, or shortages must be reported to Zagran Distro in writing within 24 hours of receipt. Failure to do so constitutes a formal acceptance of the order as delivered.

Ownership and Retention of Title: While Zagran Ltd primarily operates on a payment-in-advance basis, the risk in the goods shall pass to the buyer upon delivery. Legal and equitable ownership of the goods shall remain strictly with Zagran Ltd. In any situation where prior arrangements have been made to release goods without advance payment, or where payment has not fully cleared prior to delivery, title shall not pass to the buyer until Zagran Ltd has received cleared payment in full for the goods in question, alongside any other outstanding balances due to the company. This "All Monies" provision ensures that interest in the goods is retained until all debts are settled. Until such time as title passes, the buyer shall store the goods in a manner that clearly identifies them as the property of Zagran Ltd and shall maintain them in a satisfactory condition. In the event of a payment default or an act of insolvency, Zagran Ltd reserves the irrevocable right to enter the buyer’s premises to recover any goods currently held under this retention of title, in accordance with the Sale of Goods Act and the Late Payment of Commercial Debts (Interest) Act 1998.
